→We have negotiated, drafted, and managed hundreds of millions of dollars in commercial deals across nearly every category imaginable. Our experience spans SaaS and traditional licensing (inbound and outbound), data access and data sharing, procurement, sales, business development, professional services, marketing legal review, consumer transactions, consumer protection, product, and complex engineering, manufacturing, and production arrangements.
Privacy & Data Compliance
→We advise on complex, multi-jurisdictional privacy and data protection requirements at the state, federal, and international levels. Our experience includes CCPA and CPRA, GDPR, and other European regulations, as well as HIPAA and IRS Section 7216 requirements. We regularly draft and review privacy policies, data security provisions, and data access agreements for companies operating at scale.
Marketing & Claims Review
→We provide practical and collaborative marketing and claims substantiation review so your press releases, advertising, and comparative claims stand up to scrutiny. Our role is to bring structure, proven guidelines, and a neutral perspective, allowing creative teams to move fast without unnecessary risk.
AI Counseling & Contracts
→We help companies adopt and deploy AI tools with clear eyes. That includes negotiating AI vendor and licensing agreements, reviewing data use and training rights, drafting internal AI use policies, and addressing AI-related disclosure, privacy, and consumer protection questions as this area of law continues to develop.
Investments, Acquisitions & Divestitures
→While not our primary focus, we have supported asset and equity transactions, direct investments, and company acquisitions and divestitures, providing experienced deal support where needed.

Firm-client fit
Through experience we have found that for the most part we are able to provide maximum value for clients that fall into either of two groups, in terms of size and revenue:
Established small and mid-sized companies
Small but relatively well-established companies with annual revenue in the range of $1 million to the low hundreds of millions. These could be startups, but if so, would generally be past the initial stages of formation and capitalization.
In this case we would often be functioning as outside (or "fractional") general counsel — serving all or nearly all of the client's legal needs.
Larger enterprises with a focused need
Much larger companies (with potentially up to billions in annual revenue) for which there is a specific and focused need — potentially a discrete project that must be staffed quickly, a strategic deal or relationship, or a situation where the client needs overflow assistance for a defined period of time.
In this case we would be likely to serve a more limited or well-defined role such as procurement support, licensing, marketing legal review, or privacy compliance review. We could also function as lead outside counsel for a specific category of work, such as all commercial agreements.
Outside general counsel ("fractional" general counsel) services
In this role, we function as your "go to," all-purpose law firm. Although the services we provide are legal in nature, we also draw on our combined several decades of experience in business partnering to provide strategic insights, business sense, and a reality check where needed.
Lead counsel for commercial transactions
We have extensive experience in this role, having served for many years in this function for several established and well-known corporations in the consumer services and technology industries.
